Terms and Conditions


1. Acceptance of Terms

By engaging ATS Systems for IT services, managed support, or software-as-a-service (SaaS) solutions, the client agrees to these Terms and Conditions. Any standard terms and conditions provided by the client are expressly waived, even if provided after the commencement of services. Any variation to these Terms must be agreed upon in writing by both parties.

2. Payment Terms

Invoices issued by ATS Systems are payable within 7 calendar days unless otherwise specified on the invoice or in an agreed Statement of Work (SoW). In the event of late payment, ATS Systems reserves the right to:

  • Charge a fixed interest fee of 10% on the overdue amount;
  • Suspend services or restrict access to software platforms or support until payment is received;
  • Refer outstanding amounts over 60 days past due to a debt collection agency. Any costs incurred during debt recovery (including legal fees) will be payable by the client.
3. Withholding Tax

Clients located outside Australia are responsible for any local withholding tax or similar government deductions applicable under their jurisdiction. ATS Systems invoices the full amount due and does not absorb or adjust for any foreign tax liabilities or legislative deductions.

4. Service Delivery

ATS Systems commits to delivering high-quality services aligned with agreed timeframes and scopes. However, unless otherwise agreed in writing, all services are provided on a best-effort basis and do not guarantee specific outcomes or results. Under no circumstances shall ATS Systems be held liable for consequential damages or be required to participate as a third party in claims made against the client by third parties.

5. Claims and Disputes

To be valid, any concerns or disputes related to services rendered or software delivered must be submitted to ATS Systems in writing within 7 business days of delivery. Notices must be sent via email and confirmed with a follow-up phone call or sent by registered post to our Brisbane head office.

6. Governing Law

These Terms and Conditions and all contractual relations with ATS Systems are governed by the laws of Queensland, Australia, and any disputes shall be subject to the exclusive jurisdiction of the courts of Queensland.7
